The Asian Pathfinder Legal Consultancy & Drafting Services in exclusive partnership with The Sri Lanka Institute of Directors will present a webinar on directors' rights, duties and liabilities under the new SEC Act on 1 December from 5-6:30 p.m.
During the past decade, financial crises have brought into sharp focus the rights, duties and liabilities of corporate directors, company secretaries, auditors etc. Often, the response of legislators, regulators and courts of law has been to impose or imply additional duties and subject them to more liabilities.
At the same time, there has been a paradigm shift with regard to the rights of directors and auditors. Increasingly, it is being recognised that a delicate balance has to be struck between corporate governance practices and the expectations of society.
The new SEC Act of Sri Lanka, which was not subjected to much public scrutiny, poses many dilemmas that directors and auditors fear they would have to face. This seminar will highlight how directors, auditors and company secretaries can adapt themselves to the new and tough regulatory regime.
In addition to directors’ rights, duties and liabilities under the new SEC Act, discussion on this forum will include salient features of the new Act, market offences, market irregularities and penalties and the impact of Civil Powers.
