Commercial High Court issues interim orders restraining 3 Golden Key Hospital directors

The Commercial High Court this week issued interim orders in terms of section 233 (5) of the Companies Act restraining three directors of Golden Key Hospitals Ltd.

The trio A.R. Gunawardena, R. Ranganathan, T.N.M. Peris have been restrained from voting to approve the appointment of E.T.L. Ranasinghe, P.D.M. Cooray, P.A. Jayawardena, S.R. Abeynayake, Dr. W.C.J. Alwis, H.D.K.P. Alwis, U. Witharana as Directors of Golden Key Hospitals and from taking any steps and/or acting in any manner to amend and/or alter the share register of the Golden Key Hospitals and/or the official records maintained with the Department of Registrar General of Companies in respect of the Golden Key Hospitals in a manner which is not in compliance with the Orders of the Supreme Court marked made in Supreme Court Case No.SCFR191/2009.

The three directors also function respectively as Chairman, Deputy Chairman, and Executive Director of Ceylinco Insurance Company PLC.

E.T.L. Ranasinghe, P.D.M. Cooray, P.A. Jayawardena, S.R. Abeynayake, Dr. W.C.J. Alwis, H.D.K.P. Alwis, U. Witharana are directors of Ceylinco Insurance Company PLC.

The Petitioners were A.K.D.D.D. Arandara and C.N. Wijesekara, who respectively are the Additional Director General (Legal) Ministry of Finance and Assistant Governor of the Central Bank and Directors of Golden Key Hospitals who are representing the interest of The Golden Key Credit Card Company Ltd., a Company now controlled by the Government, on the board of Golden Key Hospitals.

Shivaan Cooray, Attorney-at-Law with Manjuka Fernandopulle Attorney-at-Law appeared for the Petitioners instructed by Sudath Perera Associates.
