Dialog completes acquisition of H One

Leading telecom service provider Dialog Axiata PLC Group has completed the acquisition of H One Ltd., to further enhance its expansive suite of enterprise solutions and acceleration of the digital transformation of the country’s enterprise sector.

The move follows the two parties entering into a share sale and purchase agreement on 23 December 2020. The purchase was completed on 7 January pursuant to the satisfaction of all conditions precedent to the transaction as stipulated in the agreement. 

The original announcement said the purchase consideration would be between Rs. 300 million to Rs. 350 million on a cash-free debt-free basis. The latest disclosure by Dialog didn’t reveal the final purchase price. 

Dialog's acquisition is through fully owned subsidiary Dialog Broadband Network Ltd., and H One was owned by Hirdaramani Group.

H One, founded in 2008, is the largest reseller of Microsoft enterprise solutions in Sri Lanka with an annual turnover of Rs. 1.6 billion.  

Dialog in its original announcement said the acquisition of H One would supplement Dialog’s expansive suite of enterprise solutions and would facilitate acceleration of the digital transformation of Sri Lanka’s enterprise sector.
